These Terms & Conditions ("Terms") form a binding agreement between you and BusinessLocating.com ("BusinessLocating," "we," "us," or "our") governing your access to and use of our website, member portal, and related services (collectively, the "Services"). By creating an account, submitting a BuyBox or listing, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.

BusinessLocating operates an AI-powered, off-market acquisition marketplace for service-based businesses in the United States. We facilitate introductions between qualified buyers and sellers. We are not a broker-dealer, business broker (unless expressly licensed in your jurisdiction), investment advisor, attorney, accountant, or lender, and we are not a party to any transaction between members.

• You must be at least 18 years old and able to enter binding contracts.
• You must provide accurate, complete, and current information.
• You are responsible for safeguarding account credentials and all activity under your account.
• We may verify identity, source of funds, and acquisition readiness.

Certain features require a paid membership or success-based fees. Pricing, billing cycles, and refund policies are presented at signup. Unless stated otherwise, fees are non-refundable. We may change pricing prospectively with notice. Failure to pay may result in suspension or termination.

• Provide accurate acquisition criteria, capital evidence, and timelines.
• Maintain strict confidentiality of any seller information you receive.
• Execute NDAs and required diligence agreements before accessing confidential materials.
• Do not contact, solicit, or transact with a seller outside the platform with the intent to circumvent fees ("deal circumvention").

• Provide truthful, complete information about the business.
• Disclose material risks, liabilities, and operational dependencies.
• Honor exclusivity terms agreed during an active engagement.
• Respond to qualified buyer requests in good faith and within reasonable timelines.

All non-public information shared via the Services is confidential. Members must use such information solely to evaluate a potential transaction with the disclosing party. Breach of confidentiality may result in immediate termination, forfeiture of fees, and legal action including injunctive relief and damages.

BusinessLocating does not provide legal, financial, tax, accounting, or investment advice. Listings, valuations, and analytics are provided for informational purposes only. Members are solely responsible for conducting independent due diligence and engaging qualified professionals before entering into any transaction.

Portions of the Services use artificial intelligence to summarize listings, match opportunities, and surface insights. AI output may contain inaccuracies and should not be relied upon as a sole basis for any decision.

• Misrepresenting identity, capital, or business information.
• Scraping, reverse-engineering, or unauthorized access to the Services.
• Circumventing the platform to avoid fees or NDA obligations.
• Soliciting other members for unrelated services or products.
• Uploading unlawful, infringing, or harmful content.

The Services, including software, branding, and content (excluding member submissions), are owned by BusinessLocating and protected by intellectual property laws. You receive a limited, revocable, non-transferable license to use the Services in accordance with these Terms.

You retain ownership of content you submit. You grant BusinessLocating a worldwide, non-exclusive, royalty-free license to host, process, display, and share that content as needed to operate the Services and facilitate deals.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OF LISTINGS, THE QUALITY OF MEMBERS, OR THE OUTCOME OF ANY TRANSACTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUSINESSLOCATING AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $500.

You agree to defend, indemnify, and hold harmless BusinessLocating and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Services, your content, or your breach of these Terms.

We may suspend or terminate accounts at any time for violation of these Terms or for any reason at our discretion. You may close your account at any time. Provisions that by nature should survive termination will survive.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Rules, seated in Wilmington, Delaware. You waive any right to a jury trial or class action.

We may modify these Terms from time to time. Material changes will be notified via the Services or email. Continued use after the effective date constitutes acceptance.
